Referral Program Terms and Conditions

Application of these terms

  1. These terms apply to the use of our client referral program and apply to those making a referral under the program. These terms may be updated by us at any time without notice and any changes will apply to referrals received by us on, or following the date that the updated terms are made accessible on our website.
  2. The following definitions are used within these terms:

Affiliate(s): means, in relation to a company, that company, any subsidiary or holding company of that company and any subsidiary of a holding company of that company.

Customer: means a legal person that is a Insite Group Ltd customer.

Insite Group Ltd, we, our, us: means, a company incorporated in England and Wales (with company number 11690214) whose registered office is at Windsor House, 9-15 Adelaide Street, Luton, Bedfordshire, England, LU1 5BJ.

Referred Customer: means a Valid Referral that subsequently enters into an agreement with Insite Group Ltd for the provision of Insite Group Ltd’s service.

Reward: means (i) where an individual person makes a Valid Referral, a one-off reward of either (a) a £100 Amazon gift card; or (b) a £100 donation to a registered charity of the individual’s choice (Individual Reward); or (ii) where a Customer makes a Valid Referral, a discount of 10% deducted from the Customer’s invoice, subject to a maximum discount of £50 per referral per month (Customer Reward).

Valid Referral: means the referral of a prospective customer that is not (i) already a Customer of Insite Group Ltd; (ii) an Affiliate of the Customer making the referral or otherwise under common ownership and/or management with the Customer; (iii) already in discussions or negotiations with Insite Group Ltd; or (iv) already registered as a referral from another Customer or individual.

You/your: means the person making a referral to Insite Group Ltd subject to these terms.

Referral and Validation

  1. Any Customer or individual (whether employed by a Customer or acting independently) may refer prospective customers for Insite Group Ltd’s service. If you wish to make a referral, please contact us using the referral form at https://insite.co.uk/referral.
  2. On receipt of a referral, Insite Group Ltd shall assess (in its sole discretion) whether the referral is a Valid Referral. No Reward shall be due to you in relation to any referral that is not deemed to be a Valid Referral, even where we subsequently enter into a contract for the provision of our services with the referred person.

Rewards

  1. Where a Valid Referral becomes a Referred Customer, and provided it does not cancel, terminate or fail to pay for any services within three (3) months of becoming a Referred Customer, Insite Group Ltd shall notify you and arrange for the Reward to be paid or applied to your account. Only one Reward is payable for each Valid Referral that becomes a Referred Customer and you must choose whether this is paid as an individual Reward or a Customer Reward. If a Referred Customer cites multiple individuals within a Customer organisation as the referrer, it is for the Customer and those individuals to determine the Reward type and recipient but only one Reward is due for each Referred Customer.
  2. If receiving an Individual Reward, it is your responsibility to ensure that you can accept the Reward under your conditions of employment and for reporting receipt of the Reward in accordance with any internal policies and procedures applicable to you.
  3. A Customer Reward is only payable as a discount applied against Insite Group Ltd’s charges and is not available as a cash alternative, nor is it transferable. The Customer Reward shall cease to be payable if either you or the Referred Customer cease to be a Customer of Insite Group Ltd.

Other Key Terms

  1. Insite Group Ltd may cancel or withhold any Reward without liability where it discovers or suspects that any fraudulent conduct or breach of these terms has occurred. In particular, where Insite Group Ltd discovers that you and a Referred Customer are Affiliates or otherwise associated parties, Insite Group Ltd may cancel or withhold any Reward and suspend any future participation in the referral program.
  2. The referral program is discretionary and may be modified or revoked at any time by Insite Group Ltd without prior notice and Insite Group Ltd may suspend or terminate a person’s ability to participate in the referral program at any time and for any reason.
  3. Any referral made by you is on your own account and you agree that you are not acting on our behalf or with our authority. In particular, you have no authority to represent Insite Group Ltd or make commitments on our behalf. No agency or other relationship of trust exists between you and Insite Group Ltd.
  4. These terms and any dispute or claim arising out of or in connection with them shall be subject to English law and the exclusive jurisdiction of the English courts.
